Mutagent Inc ("Mutagent," "we," "us," or "our"), respects the privacy of our users ("user" or "you"). These Terms of Service ("Terms") and our Privacy Policy govern your access to and use of our platform. By accessing or using Mutagent, you agree to be bound by these Terms. Please read them carefully before proceeding.

Acceptance of Terms

By registering for, accessing, or using our platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree with any part of these Terms, you must not use our services. These Terms constitute a legally binding agreement between you and Mutagent, so it is important that you review them carefully.

We reserve the right, at our sole discretion, to modify, update, or replace these Terms at any time. Access and Use of the Platform

License Grant

Subject to your compliance with these Terms, Mutagent grants you a limited, non-exclusive, non-transferable, revocable license to access and use our platform solely for your personal, non-commercial purposes. This license does not include any resale or commercial use of the platform or its contents, any derivative use of the platform or its contents, or any use of data mining, robots, or similar data gathering and extraction tools.

Restrictions on Use

You agree to use the platform only for lawful purposes and in accordance with these Terms. You shall not:

• Use the platform in any way that violates any applicable federal, state, local, or international law or regulation
• Transmit, or procure the sending of, any advertising or promotional material without our prior written consent
• Impersonate or attempt to impersonate Mutagent, a Mutagent employee, another user, or any other person or entity
• Use the platform in any manner that could disable, overburden, damage, or impair the site
• Use any robot, spider, or other automatic device, process, or means to access the platform for any purpose
• Use any manual process to monitor or copy any of the material on the platform
• Introduce any viruses, trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful

Integration with Google Workspace APIs

Mutagent's platform may integrate with and utilize Google Workspace APIs to provide its services. By using our platform, you acknowledge and agree that:

• Your use of Google Workspace integrations is subject to Google's Terms of Service
• You grant Mutagent permission to access your Google Workspace data solely for the purpose of providing our services
• We will handle your Google data in accordance with our Privacy Policy and Google's API Services User Data Policy

User Responsibilities

You are solely responsible for maintaining the confidentiality of your account information, including your username and password. You agree to accept responsibility for all activities that occur under your account. If you believe that your account has been compromised, you must immediately notify Mutagent.

You are also responsible for ensuring that all information you provide to Mutagent is accurate, complete, and up-to-date. You agree to promptly update your account information if any changes occur.

User-Generated Content

Ownership of User Content

You retain all rights, title, and interest in and to any content you submit, post, or display on or through the platform ("User Content"). By submitting User Content, you grant Mutagent a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform the User Content in connection with the platform and Mutagent's business.

Prohibited Content

Mutagent reserves the right to remove or disable access to any User Content that violates these Terms or that we determine, in our sole discretion, to be harmful, objectionable, or inaccurate.

Termination of Access

We may terminate or suspend your access to the platform, without prior notice or liability, at our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms. Upon termination, your right to use the platform will immediately cease. All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

Disclaimer of Warranties

The platform is provided "AS IS" and "AS AVAILABLE." Mutagent and its suppliers and licensors hereby disclaim all warranties of any kind, express or implied, including, without limitation, the warranties of merchantability, fitness for a particular purpose, and non-infringement. Neither Mutagent nor its suppliers and licensors make any warranty that the platform will be error-free or that access thereto will be continuous or uninterrupted. You understand that you download from, or otherwise obtain content or services through, the platform at your own discretion and risk.

Limitation of Liability

In no event will Mutagent, or its suppliers or licensors, be liable with respect to any subject matter of this agreement under any contract, negligence, strict liability, or other legal or equitable theory for:

• Any indirect, incidental, special, consequential, or punitive damages
• The cost of procurement of substitute products or services
• For interruption of use or loss or corruption of data
• For any amounts that exceed the fees paid by you to Mutagent under this agreement during the twelve (12) month period prior to the cause of action

Mutagent shall have no liability for any failure or delay due to matters beyond their reasonable control. The foregoing shall not apply to the extent prohibited by applicable law.

Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of Delaware, United States, without giving effect to its conflict of law provisions. You agree to submit to the personal jurisdiction of the courts located within Delaware for the purpose of litigating all such claims or disputes.
